Scope: This Acceptable Use Policy ("AUP") governs your use of the Gyre Research Platform and forms part of the Terms of Service. Violation of this AUP may result in suspension or termination of your access. All defined terms have the meanings given in the Terms of Service.
1. General Principles
The Gyre Research Platform is a professional tool designed for institutional investment professionals. You agree to use the Platform responsibly, ethically, and in compliance with all applicable laws and regulations. You are responsible for the conduct of all Authorized Users under your account.
This AUP is not exhaustive. Conduct not explicitly listed may still constitute a violation if it undermines the integrity, security, or intended use of the Platform.
2. Prohibited Uses
You shall not use the Platform, directly or indirectly, to:
2.1 Illegal or Harmful Activities
Violate any applicable law, regulation, or order, including without limitation securities laws, anti-money laundering (AML) regulations, sanctions laws, or market manipulation prohibitions.
Facilitate insider trading, front-running, market manipulation, or any other prohibited trading activity.
Engage in money laundering, terrorist financing, sanctions evasion, or other financial crimes.
Process, store, or transmit data in violation of applicable data protection or privacy laws.
Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
2.2 Platform Integrity
Attempt to gain unauthorized access to any part of the Platform, other accounts, systems, or networks connected to the Platform.
Introduce viruses, malware, trojans, worms, or other harmful code.
Interfere with or disrupt the Platform or the servers, networks, or infrastructure supporting it.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data models of the Platform.
Circumvent, disable, or interfere with any security, authentication, or access control features.
Use automated scripts, bots, or crawlers to access the Platform except through the documented API.
2.3 Commercial Restrictions
Resell, sublicense, or redistribute access to the Platform or any component thereof without Gyre Research's prior written consent.
Use the Platform to provide outsourced processing, bureau services, or managed services to third parties.
Create a competing product or service based on features, functions, or graphics of the Platform.
Benchmark the Platform for the purpose of publishing comparative analyses without prior written consent.
3. Data Use Restrictions
3.1 Market Data
Market Data accessed through the Platform is subject to the license terms of the applicable third-party data provider. Without limiting the foregoing, you shall not:
Redistribute, republish, or display Market Data to any person or entity that is not an Authorized User under your subscription.
Use Market Data to create derived data products for external distribution or sale.
Store Market Data in a manner that creates an independent database that substitutes for the data provider's service.
Use Market Data for purposes other than your internal business operations, including but not limited to providing data to competitors of the data provider.
3.2 Client Data
You shall ensure that all Client Data uploaded to the Platform is lawfully obtained and that you have all necessary rights, consents, and authorizations to process such data through the Platform.
You shall not upload data that contains malware, harmful code, or data that violates applicable law.
You shall not upload sensitive personal data (as defined under GDPR or equivalent legislation) unless you have obtained explicit consent from the relevant data subjects and have informed Gyre Research in advance.
3.3 Output Data
Output Data may be used for your internal business purposes and for reporting to your own clients, subject to any Market Data redistribution restrictions.
You are solely responsible for any decisions made based on Output Data. Gyre Research does not warrant the accuracy or suitability of Output Data for any particular purpose.
4. API and Technical Restrictions
4.1 Rate Limits
API access is subject to the rate limits specified in your Order Form and the Documentation. You shall not attempt to circumvent rate limits by creating multiple accounts, rotating credentials, or using distributed systems to exceed your allocated capacity.
4.2 Responsible Use
API calls must include proper authentication headers and must not impersonate other users or systems.
You shall implement reasonable error handling, including exponential backoff for failed requests, to avoid excessive load on the Platform.
Bulk data operations should be performed during off-peak hours where possible and in accordance with the Documentation.
You shall not use the API to scrape, mine, or systematically extract data beyond the scope of your subscription entitlements.
4.3 Integration Requirements
Any custom integrations with the Platform must comply with the API Documentation and any technical specifications provided by Gyre Research. Gyre Research is not responsible for failures or data loss caused by non-compliant integrations.
5. Security Obligations
You shall maintain strong, unique passwords for all accounts and enable multi-factor authentication where available.
You shall not share login credentials between individuals. Each Authorized User must have a unique account.
You shall promptly notify Gyre Research of any suspected unauthorized access, security breach, or compromise of credentials at [email protected].
You shall promptly revoke access for any Authorized User who is no longer authorized, has been terminated, or whose credentials may have been compromised.
You shall ensure that systems accessing the Platform maintain reasonable security measures, including up-to-date software, antivirus protection, and network security controls.
6. Regulatory and Legal Compliance
You are responsible for using the Platform in compliance with all applicable laws and regulations in your jurisdiction, including but not limited to:

Gyre Research reserves the right to suspend access if it reasonably believes your use of the Platform violates applicable sanctions or export control regulations.
7. Monitoring and Enforcement
7.1 Monitoring
Gyre Research may monitor use of the Platform for security, compliance, and enforcement purposes. Such monitoring may include reviewing API usage patterns, access logs, and data transfer volumes. Monitoring is conducted in accordance with our Privacy Policy and applicable law.
7.2 Enforcement Actions
If Gyre Research determines, in its reasonable judgment, that you have violated this AUP, Gyre Research may take one or more of the following actions:

Emergency Suspension: Gyre Research may immediately suspend access without prior notice if it reasonably believes the violation poses an imminent threat to the security, integrity, or availability of the Platform, or exposes Gyre Research to legal liability. Gyre Research will provide notice and an explanation as soon as reasonably practicable following an emergency suspension.
7.3 Appeal Process
If you believe enforcement action has been taken in error, you may submit a written appeal to [email protected] within 10 business days of the enforcement action. Gyre Research will review the appeal and respond within 10 business days.
